1. Wholesale-Only Distribution

The SFVU WHOLESALE FISHING TACKLE DISTRIBUTION Group, a wholly owned subsidiary division of The SFVU BUSINESS Group (“SFVU,” “Company,” “We,” “Us,” or “Our”), operates exclusively as a business-to-business (B2B) wholesale distributor of outdoor sporting goods.

Sales are strictly limited to pre-approved retailers, jobbers, outfitters, licensed fishing guides, charter operators, and other trade professionals who have submitted a complete SFVU Dealer Application and have been formally approved. Approval may be granted, denied, suspended, or revoked at SFVU’s sole discretion, with or without notice.

By applying, you certify that all submitted information is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials, and you assume full responsibility for all activity conducted under your account.

Approved dealers (“DEALER”, “You”, or “Your”) are solely responsible for:

• Accurate product descriptions and representations
• Maintaining all products in original, manufacturer-branded packaging
• Prohibition of private labeling, repackaging, relabeling, or brand alteration
• Compliance with all applicable federal, state, and local laws

2. Inventory Availability & Order Methods

SFVU offers two (2) ordering methods:

A. Live Inventory Ordering

The Live Inventory System reflects real-time inventory availability.

• Inventory is not reserved until checkout and payment
• Adding items to a cart does not secure inventory
• Availability is based on payment timestamp
• SFVU reserves sole discretion in fulfillment

Shipping Timing: Orders placed and paid by 9:00 AM Eastern Time will ship no later than the next business day.

B. Special Order System

The Special Order System provides access to all factory-available UPC SKUs.

• Orders are not fulfilled in real time
• Fulfillment depends on factory manufacturer
• Delivery dates are not guaranteed
• Factory MOQs and order minimums apply
• Valid Reseller Certificate required

3. Pricing, Confidentiality & MAP Policy

All prices are listed in U.S. Dollars (USD). Wholesale pricing is strictly confidential.

Minimum Advertised Price (MAP) Policy

• Websites
• Online marketplaces
• Social media
• Email marketing
• Digital or print advertisements

MAP does not restrict in-store or cart pricing.

4. Payment Terms

All orders require full prepayment via PayPal.

5. Shipping & Risk of Loss

Risk of loss transfers to DEALER immediately upon shipment.

6. Returns & Claims

All wholesale sales are final.

7. Warranties & Disclaimers

All products are sold “AS IS”.
