REQUIRED CHECKOUT ACKNOWLEDGMENT
Before completing the purchase of any Digital Product, you as the Customer will be required to affirmatively acknowledge the following statement:

"I certify that I have read and agree to the SFVU Digital Product License Agreement, Terms of Sale, and No-Refund Policy. I understand that I am purchasing a limited license to use proprietary digital information, not ownership of the intellectual property. I understand that digital products become non-refundable once delivered, downloaded, accessed, or made available to me, and that SFVU may maintain electronic records of delivery and access for the purpose of verifying fulfillment."

Failure to agree to this acknowledgment shall prevent completion of the purchase.

1. Introduction

This Digital Product License Agreement, Terms of Sale, and No-Refund Policy ("Agreement") governs the purchase, licensing, access, download, and use of all digital products made available by The SFVU WHOLESALE FISHING TACKLE DISTRIBUTION Group ("SFVU," "Company," "we," "our," or "us") through www.Wholesale-Fishing-Tackle.com.

By purchasing, downloading, accessing, viewing, or using any Digital Product offered by SFVU, the purchaser ("Customer," "Dealer," "Licensee," or "You") acknowledges that they have read, understood, and agree to be legally bound by this Agreement.

If you do not agree to every provision contained herein, do not purchase or access any Digital Product.

2. Definitions

Digital Product includes, but is not limited to:

  • Dealer Success Blueprints
  • Industry Reference Manuals
  • Digital Books
  • Market Intelligence Reports
  • Distributor Directories
  • Dealer Databases
  • Vendor Contact Directories
  • Educational Courses
  • Downloadable Templates
  • Pricing Models
  • Marketing Packages
  • Business Planning Guides
  • PDF Documents
  • Excel Spreadsheets
  • Digital Images
  • Videos
  • Audio Files
  • Proprietary Research
  • Proprietary Industry Data
  • API Access
  • Any downloadable or electronically delivered content.

3. License — Not a Sale

All Digital Products are licensed, not sold. Purchasing a Digital Product grants the Licensee a limited, non-exclusive, non-transferable, revocable license solely for the Licensee's own internal business use. No ownership rights are transferred. SFVU retains all right, title, and interest in every Digital Product.

4. Intellectual Property

Every Digital Product remains the exclusive intellectual property of SFVU. This includes:

  • Copyright
  • Trade Secrets
  • Proprietary Research
  • Databases
  • Layouts
  • Graphics
  • Branding
  • Methods
  • Processes
  • Educational Material

Unauthorized use constitutes infringement and may result in civil and criminal remedies where applicable.

5. Permitted Use

Licensees may:

  • Download purchased materials.
  • Print copies for their own internal business use.
  • Store one archival backup.
  • Use information within their own business.

6. Prohibited Use

Without prior written authorization, Licensees may not:

  • Share files.
  • Email files to others.
  • Upload files to cloud-sharing services for public or third-party access.
  • Copy entire manuals.
  • Resell content.
  • Redistribute content.
  • Publish excerpts beyond fair use.
  • Remove copyright notices.
  • Reverse engineer proprietary databases.
  • Create derivative works substantially based upon SFVU materials.
  • Use SFVU content to compete directly with SFVU.

7. Single License

Unless otherwise stated in writing, each purchase licenses one legal business entity. Additional locations, employees, divisions, consultants, contractors, partners, affiliates, subsidiaries, franchisees, or related companies require separate licenses.

8. Digital Delivery

Digital Products are deemed delivered upon the earliest of:

  • Successful download;
  • Successful electronic transmission;
  • Successful access through the Customer's account;
  • Successful access through a secure portal;
  • Delivery to the email address supplied by the Customer.

Delivery is complete whether or not the Customer subsequently opens, downloads, saves, prints, or reviews the Digital Product.

9. Proof of Delivery

To protect both SFVU and the Customer, SFVU may maintain records including:

  • Download timestamps
  • Login records
  • IP addresses
  • Device information
  • Browser information
  • Download counts
  • Email transmission records
  • Account access logs
  • Transaction IDs
  • License activation records

These records may be used as evidence that delivery occurred.

10. Watermarking

SFVU may embed visible or invisible identifying information within Digital Products. This information may include:

  • Customer Name
  • Dealer Number
  • Purchase Date
  • Order Number
  • Transaction ID
  • Internal Tracking Numbers

Removal or alteration of such information is prohibited.

11. No-Refund Policy

Due to the nature of electronically delivered products, ALL DIGITAL PRODUCT SALES ARE FINAL. Once any Digital Product has been delivered, downloaded, accessed, viewed, opened, or made available through a customer account, the sale becomes final and non-refundable.

SFVU cannot verify that digital information has been permanently deleted after delivery. Accordingly, returns comparable to physical merchandise are not possible.

12. Exceptions

SFVU may, at its sole discretion, provide replacement access if the wrong file was delivered, the file is materially corrupted and cannot be repaired, or a technical error prevented delivery. Replacement access does not constitute a refund.

13. Payment Terms

All Digital Products must be prepaid in full. SFVU currently accepts all approved payment methods offered ONLY by PayPal. No license is granted until payment has been successfully received.

14. Chargebacks and Payment Disputes

If a Customer files a payment dispute, chargeback, or claim alleging non-delivery, SFVU may provide evidence including download records, login records, delivery logs, IP addresses, email confirmations, transaction records, digital watermark records, and electronic acceptance records.

Initiating a payment dispute after successful delivery does not invalidate this Agreement or the granted license. If a dispute is resolved in SFVU's favor, the Customer remains bound by all license restrictions.

If a Customer receives a refund through a payment processor contrary to this Agreement, the Customer's license terminates immediately, and the Customer agrees to cease use of and permanently delete all copies of the Digital Product. Non-compliance will be prosecuted to the fullest extent of Maryland Law and all legal expenses will be the responsibility of the Customer.

15. Account Termination

SFVU reserves the right to suspend or terminate access if the Customer violates this Agreement, redistributes materials, attempts unauthorized copying, shares login credentials, or misuses proprietary information.

Termination does not entitle the Customer to a refund. Any of these deemed actions will be prosecuted to the fullest extent of Maryland Law and all legal expenses will be the responsibility of the Customer.

16. Confidential Information

Certain Digital Products may contain confidential business information. The Customer agrees to exercise reasonable care to prevent unauthorized disclosure.

17. Limitation of Liability

To the fullest extent permitted by law, SFVU shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the purchase or use of any Digital Product. SFVU's total liability for any claim relating to a Digital Product shall not exceed the amount actually paid by the Customer for that specific Digital Product.

18. Disclaimer

Digital Products are educational and informational resources. SFVU does not guarantee any particular business outcome, revenue, profitability, dealer approval, supplier acceptance, inventory availability, or commercial success resulting from use of any Digital Product.

19. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Maryland, without regard to its conflict-of-law principles. Any legal action arising under this Agreement shall be brought in a court of competent jurisdiction located in Maryland, unless otherwise required by applicable law.

20. Severability

If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

This Agreement constitutes the complete understanding between SFVU and the Customer regarding Digital Products and supersedes all prior discussions, representations, or understandings relating to such products.

22. Modifications

SFVU reserves the right to modify this Agreement at any time. Updated versions will be posted on www.Wholesale-Fishing-Tackle.com. Purchases made after publication of an updated Agreement constitute acceptance of the revised terms.
